FirsCry-parent Brainbees's unit acquires hygiene products maker KA Enterprises for about Rs 58 Cr


​Brainbees Solutions said on Monday its subsidiary Swara Baby Products has agreed to acquire hygiene products manufacturer KA Enterprises (Hygiene) Private Limited in a share-swap deal valued at Rs 57.74 crore.

Swara Baby will acquire 100% of KA Enterprises by issuing about 3.85 million equity shares to the target’s existing shareholders, the FirstCry parent said in a stock exchange filing. Following the transaction, Brainbees’ stake in Swara Baby will reduce to 75.92% from 87.29%, on account of share issuance due for acquisition.

KA Enterprises, incorporated in 2019, is engaged in manufacturing and trading hygiene products. The business, including its predecessor entity under common control, reported revenue of Rs 84.01 crore in FY25 and a profit after tax of Rs 5.22 crore.

​The acquisition comes as Brainbees continues to reorganise and consolidate businesses across its subsidiaries, particularly within its brand aggregation arm GlobalBees. In August 2025, Brainbees said it would invest Rs 19.96 crore in GlobalBees Brands as part of a broader Rs 146 crore commitment announced in March to support the unit’s operations and portfolio rationalisation through FY26.

GlobalBees operates a house-of-brands model focused on acquiring and scaling ecommerce-led consumer brands across beauty, personal care, fitness, home and lifestyle categories. Brainbees raised its stake in GlobalBees marginally in April 2025, following a Rs 73 crore tranche, which increased its holding to 51.12%, according to regulatory filings.

As part of this consolidation drive, GlobalBees has increased ownership in several operating companies. In August 2025, it acquired an additional 10% stake in Cloud Lifestyle Private Limited, a personal care and beauty products business spanning cosmetics, hygiene, hair care, oral care and wellness categories, for Rs 60.29 lakh, making it a wholly owned subsidiary. Cloud Lifestyle reported revenue of Rs 55.35 crore in FY25.

Earlier this month, in December 2025, GlobalBees also raised its stake in HS Fitness Private Limited, which operates the ‘REACH’ fitness equipment brand and provides installation, repair and maintenance services. The transaction lifted GlobalBees’ holding to 86.49% from 80% for Rs 2.40 crore. While HS Fitness reported revenue of Rs 7.59 crore in FY25, the REACH brand generated over Rs 17.5 crore in turnover across multiple GlobalBees subsidiaries during the same period.
